Welcome to HeyTARA. These Terms and Conditions (“Terms”) govern your access to and use of HeyTARA’s voice AI assistant and related services (collectively, the “Service”). By using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.
1. Service Overview
1.1. HeyTARA provides AI-powered voice automation for restaurants, including takeout order capture, call handling, and reservation support.
1.2. You must be at least 18 years old to use the Service.
1.3. You agree to use the Service in compliance with all applicable laws and these Terms.
1.4. HeyTARA reserves the right to suspend or terminate access to the Service for any violation of these Terms.
2. Account Access & Security
2.1. Certain features may require account registration. You agree to provide accurate and complete information during registration and to keep your credentials secure.
2.2. You are solely responsible for all activity under your account.
2.3. HeyTARA is not liable for any loss or damage resulting from unauthorized access to your account.
3. Subscriptions, Billing & Cancellation
3.1. The Service is offered on a subscription basis with pricing tiers that may vary based on usage or service level.
3.2. You authorize HeyTARA to charge your payment method on a recurring basis until cancellation.
3.3. You may cancel at any time; cancellation takes effect at the end of the current billing period.
3.4. Refunds are not provided for partial billing periods, except where required by law.
4. Service Availability & Modifications
4.1. While HeyTARA strives for high availability, uninterrupted service is not guaranteed.
4.2. We may enhance, update, or modify the Service at any time without prior notice.
4.3. HeyTARA may revise these Terms periodically. Your continued use of the Service constitutes acceptance of any changes.
5. Permitted Use & Restrictions
5.1. You agree not to misuse the Service, including but not limited to:

Violating laws or regulations

Attempting unauthorized access to the Service

Interfering with the operation or security of the Service

Reverse-engineering, copying, or modifying proprietary technology
5.2. Violations may result in suspension or permanent termination of access.
6. Intellectual Property
6.1. HeyTARA and its licensors retain all intellectual property rights in the Service, including software, documentation, and trademarks.
6.2. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for its intended purpose.
6.3. You may not reproduce, distribute, or create derivative works from any part of the Service without written consent.
7. Data & Privacy
7.1. By using the Service, you acknowledge and consent to our collection, use, and processing of personal and business data in accordance with our Privacy Policy.
7.2. Customer data, including call transcripts and order data, remains the property of the Customer, subject to a limited license granted to HeyTARA to operate, improve, and analyze the Service.
7.3. Aggregated or de-identified data may be retained and used by HeyTARA for analytics, benchmarking, and product development.
8. Disclaimer & Limitation of Liability
8.1. THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
8.2. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEYTARA DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8.3. HEYTARA IS NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE.
8.4. HEYTARA’S TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWO (2) MONTHS PRIOR TO THE CLAIM.
9. Termination
9.1. Either party may terminate these Terms at any time by ceasing use of the Service.
9.2. HeyTARA may suspend or terminate your access for any violation of these Terms, without prior notice.
9.3. Upon termination, your right to access the Service immediately ends, and any outstanding obligations remain enforceable.
10. Governing Law & Dispute Resolution
10.1. These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
10.2. All disputes shall be resolved by binding arbitration in Los Angeles County, California, under the rules of the American Arbitration Association, unless prohibited by law.
