End User License Agreement (EULA)

This End User License Agreement (“Agreement”) is a binding agreement between you (“End User” or “you”) and Hey Tara (“we,” “us,” or “our”). This Agreement governs your use of Hey Tara, a voice bot service that enables restaurants to take orders and integrate those orders with their POS systems. By accessing or using Hey Tara, you agree to be bound by the terms of this Agreement.
 
1. License Grant
Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, and revocable license to use Hey Tara solely for the purposes of handling restaurant orders and managing interactions with customers. This license does not allow you to sublicense or transfer any rights to third parties.
 
2. Restrictions
You agree not to:

  • Copy, Modify, or Distribute: Copy, modify, duplicate, distribute, sell, or create derivative works of Hey Tara.

  • Reverse Engineer: Attempt to reverse engineer, decompile, or disassemble any part of Hey Tara’s software or voice bot technology.

  • Unauthorized Use: Use Hey Tara for any purposes other than restaurant order management, including but not limited to any unlawful or unauthorized use.

  • Interfere with Security: Attempt to bypass or interfere with any security measures employed by Hey Tara.

Violation of these restrictions may result in the immediate termination of your license to use Hey Tara.
 
3. Ownership
Hey Tara is and remains the property of Hey Tara, and all intellectual property rights, including but not limited to trademarks, service marks, trade secrets, copyrights, and patents, are owned by us. No rights, title, or interest in Hey Tara or any associated intellectual property is transferred to you other than the limited license granted in this Agreement.
 
4. User Data and Privacy
Hey Tara does not retain or store any user data, including voice recordings, caller details such as names or phone numbers, beyond what is required to process individual orders. By using Hey Tara, you acknowledge and consent to this real-time data processing policy. For more information, please review our [Privacy Policy](link to Privacy Policy).
 
5. Disclaimer of Warranties
Hey Tara is provided “as is” and “as available,” with all faults and without warranty of any kind. To the fullest extent permissible under applicable law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We make no warranty that Hey Tara will be error-free, uninterrupted, or meet your specific requirements.
 
6. Limitation of Liability
To the fullest extent permitted by law, in no event shall Hey Tara or its affiliates, officers, employees, or agents be liable to you for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use or inability to use Hey Tara, even if we have been advised of the possibility of such damages. Our total liability for any claim arising from or related to this Agreement or your use of Hey Tara will not exceed the amount paid, if any, for access to Hey Tara.
 
7. Indemnification
You agree to indemnify, defend, and hold harmless Hey Tara and its affiliates, officers, employees, and agents from any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of Hey Tara, your violation of this Agreement, or your violation of any law or rights of a third party.
 
8. Term and Termination
This Agreement is effective upon your acceptance and will remain in effect until terminated. We may terminate or suspend your access to Hey Tara at any time, with or without cause, and without prior notice. Upon termination, you must cease all use of Hey Tara and delete any copies of materials or content obtained through Hey Tara.
 
9. Modifications to this Agreement
 
We may update or modify this Agreement from time to time to reflect changes in our policies, legal obligations, or operational practices. Any changes to this Agreement will be posted on our website, and the updated date will be noted. Your continued use of Hey Tara after any changes indicates your acceptance of the updated Agreement.
10. Governing Law
This Agreement is governed by and construed in accordance with the laws of the United States, without regard to its conflict of laws principles. You agree that any legal action or proceeding relating to this Agreement or your use of Hey Tara will be brought exclusively in the competent courts located in California.
 
11. Entire Agreement
This Agreement, along with our Privacy Policy, constitutes the entire agreement between you and Hey Tara regarding your use of the service. It supersedes any prior agreements or understandings, whether written or oral, regarding Hey Tara.
